End-User License Agreement

Effective November 2, 2026

Overview

This End-User License Agreement (EULA) governs access to the Chicago Court HOA and commercial condominium management platform, owner/tenant portal, and its QuickBooks Online accounting integration operated by WoTo Properties, LLC and the Council of Owners of Chicago Court Condominium.

1. Acceptance of Agreement

This End-User License Agreement ("Agreement" or "EULA") is a binding legal agreement between you ("User," "you," or "your") and WoTo Properties, LLC, acting on its own behalf and as managing agent for the Council of Owners of Chicago Court Condominium (collectively, "Operator," "we," "us," or "our"), governing your access to and use of the Chicago Court management web application, owner/tenant portal, and associated accounting integrations (the "Application").

By signing in to, accessing, or using the Application—or by connecting a QuickBooks Online company file to the Application—you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.

2. License Grant & Authorized Users

Subject to your compliance with this Agreement, Operator grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Application solely for internal property management, Common Area Maintenance ("CAM") administration, lease and rent administration, and condominium unit owner or tenant account review related to Chicago Court Condominium (5502 58th St, Lubbock, TX 79414).

Access to the Application is restricted to authorized unit owners, commercial tenants, board/council members, accounting personnel, and property managers designated by Operator.

3. Intuit QuickBooks Online Integration

Terms governing OAuth 2.0 connection and accounting synchronization with Intuit Inc.

The Application includes an integration with QuickBooks Online, a service provided by Intuit Inc. ("Intuit"), using Intuit OAuth 2.0 authentication and the QuickBooks Online Accounting API.

  • Administrator Authorization

Only organization administrators with explicit management permissions may authorize, connect, synchronize, or disconnect a QuickBooks Online company file on behalf of an issuing entity (such as the Council of Owners of Chicago Court Condominium or WoTo Properties, LLC).

  • Scope of Synchronization

When connected, the Application retrieves general ledger entries, chart of accounts, vendor expenses, customer balances, and company metadata from the authorized QuickBooks Online company to mirror CAM accounts, categorize property expenses, and reconcile owner and tenant statements.

  • Third-Party Relationship with Intuit

Intuit Inc. and its affiliates are third-party providers and are not parties to this Agreement. Your use of QuickBooks Online remains subject to Intuit’s applicable Terms of Service and privacy policies. Intuit makes no warranties and assumes no liability with respect to the Application.

  • Disconnecting QuickBooks Online

An authorized administrator may revoke the Application’s access to QuickBooks Online at any time from Settings → QuickBooks inside the Application or directly through the Intuit Account / QuickBooks Online Apps portal.

4. Acceptable Use & Restrictions

You agree to use the Application only for lawful purposes and in accordance with your assigned role and permissions. You shall not:

  • Unauthorized Access

Attempt to access data belonging to another organization, unit, lease, or billing account for which you have not been granted explicit authorization.

  • Reverse Engineering & Interference

Copy, modify, decompile, reverse-engineer, scrape, or attempt to extract the source code, database schema, or underlying security controls of the Application.

  • Credential Sharing

Share your sign-in links, one-time passcodes, or active sessions with unauthorized individuals.

5. Financial Records & Governing Documents

The Application facilitates accounting reconciliation, CAM allocation calculations, and statement generation based on QuickBooks Online records, the recorded Declaration and By-Laws of Chicago Court Condominium (including all recorded amendments), and executed lease agreements.

In the event of any discrepancy between figures displayed in the Application and the recorded condominium instruments, executed leases, or verified accounting books, the recorded legal instruments and verified books of account shall govern.

6. Intellectual Property & Ownership

The Application, including its design system, software code, database architecture, and user interface, is owned by Operator and its licensors and is protected by applicable intellectual property laws. QuickBooks and Intuit are registered trademarks of Intuit Inc. All rights not expressly granted in this Agreement are reserved.

7. Disclaimer of Warranties

THE APPLICATION AND ALL INTEGRATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPERATOR AND ITS LICENSORS AND THIRD-PARTY SERVICE PROVIDERS (INCLUDING INTUIT INC.) EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPERATOR, THE COUNCIL OF OWNERS OF CHICAGO COURT CONDOMINIUM, WOTO PROPERTIES, LLC, OR THEIR RESPECTIVE OFFICERS, MEMBERS, MANAGERS, AGENTS, OR THIRD-PARTY PROVIDERS (INCLUDING INTUIT INC.) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

This Agreement is effective until terminated. Operator may suspend or terminate your access to the Application at any time if your ownership, tenancy, or management relationship with Chicago Court ends, or if you violate any provision of this Agreement. Upon termination, your right to access the Application ceases immediately, though provisions relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive.

10. Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Lubbock County, Texas.
